These Terms of Service (“Terms”) govern your use of the Propel 24/7 website and loyalty platform (“Platform”).

By accessing or using the Platform, you agree to these Terms.

If you are using the Platform on behalf of a business (“Merchant”), you confirm you have authority to bind that business.

2. Our Services

Propel 24/7 provides a digital loyalty, rewards, and customer engagement platform for businesses.

We enable Merchants to:

• • create loyalty programs
  • manage customer engagement
  • communicate with their customers

We do not control how Merchants use the Platform.

3. User Types

3.1 Merchants

Businesses using Propel 24/7 to operate loyalty programs.

3.2 End Users

Customers who join a Merchant’s loyalty program.

Different obligations may apply depending on your role.

4. Account Responsibilities (Merchants)

Merchants agree to:

• • Provide accurate and up-to-date information.
  • Maintain the security of login credentials.
  • Ensure all staff use the Platform appropriately.
  • Comply with all applicable laws (including privacy and marketing laws).
  • Merchants are responsible for all activity on their account.

5. Customer Data & Privacy

Merchants own all customer data collected through the Platform.

Propel 24/7 acts as a service provider to process and store that data.

Propel 24/7 does not sell, rent, or monetise customer data.

Use of personal information is governed by our Privacy Policy.

6. Acceptable Use

You must not:

• • Use the Platform for unlawful purposes
  • Send spam or unsolicited communications without consent
  • Upload harmful, misleading, or offensive content
  • Attempt to interfere with the Platform’s operation or security
  • We may suspend or terminate access for misuse.

7. Messaging & Compliance

Merchants are responsible for:

• • Obtaining proper customer consent for communications.
  • Complying with applicable marketing laws (e.g. spam laws).
  • Ensuring messaging content is accurate and not misleading.
  • Propel 24/7 provides tools only and is not responsible for Merchant communications.

8. Platform Availability

We aim to provide reliable access to the Platform but do not guarantee:

• • uninterrupted service
  • error-free operation

We may perform maintenance or updates from time to time.

9. Fees & Payment

Fees for use of the Platform will be agreed separately.

Failure to pay may result in suspension or termination.

10. Intellectual Property

Propel 24/7 retains ownership of all Platform technology, branding, and software.

Merchants retain ownership of their own content and customer data.

You may not copy, modify, or reverse engineer the Platform.

11. Termination

We may suspend or terminate access if:

• • These Terms are breached
  • The Platform is used unlawfully or inappropriately
  • Merchants may stop using the Platform at any time.

12. Data on Termination

Upon termination:

• • Merchants may request a copy of their customer data within a reasonable period.
  • Propel 24/7 may delete data after this period in accordance with its data retention policies.

13. Limitation of Liability

To the maximum extent permitted by law:

• • Propel 24/7 is not liable for indirect, incidental, or consequential losses.
  • Our total liability is limited to the fees paid to us (if any) in the previous 12 months.

14. No Guarantee of Results

We do not guarantee:

• • increased revenue
  • customer retention
  • campaign performance

Results depend on how the Platform is used by the Merchant.

15. Third-Party Services

The Platform may integrate with or rely on third-party services.

We are not responsible for the performance or availability of those services.

16. Changes to These Terms

We may update these Terms from time to time.

Continued use of the Platform constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of Queensland, Australia.
